(Applies to All Tiers: Foundation Build, Managed Suite, Scale System)

1. MASTER SERVICE AGREEMENT (MSA)

This Master Service Agreement governs every build, customization, and ongoing service delivered by Kristin Kayser/KK Studio (“Designer”) to the Client (“You”).

By purchasing any tier, checking the agreement box at checkout, or accessing delivered work, you accept all terms herein:

1.1 Scope of Work

KK Studio provides digital design services including—but not limited to—website builds, automation workflows, design customizations, and HighLevel system configuration.

Each tier includes a defined scope titled below (“Service Tier Specifications”).

Anything outside that defined scope is considered out-of-scope and may require a change order or hourly rate.

1.2 Term & Duration

For Foundation Build (one-time build + hosting month): the agreement lasts until the final deliverables are transferred and your hosting month concludes.

For Managed Suite and Scale System: this agreement remains active month-to-month, renewing automatically until cancelled according to Section 7.

1.3 Communication Standards

All communication occurs through:

Email

Client portal

Scheduled calls

Ticketing/support channel

You agree to provide timely responses. Delays in communication may extend timelines.

1.4 Ownership of Work

Foundation Build Clients

You own your HighLevel account, your website, your assets, your workflows.

After delivery, you assume full responsibility for the account.

Designer has no access unless you grant it.

Managed Suite & Scale System Clients

Your website is hosted inside Designer’s agency account.

You have rights to use the site and systems while payments remain current.

You do not own the backend or hosting environment.

If you ever upgrade to a self-hosted HighLevel account, Designer may migrate your site for an additional fee.

1.5 Intellectual Property

Designer retains rights to:

Frameworks

Systems

Templates

Automations

Proprietary workflows

Original methodologies

You are granted a non-exclusive, non-transferable license to use these while your account is active.

Brand assets you provide remain your property.

2. SERVICE TIER SPECIFICATIONS

Tier 1: Foundation Build (Client-Hosted)

✔ Custom Website Build inside your HighLevel account

✔ Automated Follow-Up Engine

✔ Unified Inbox & Messaging Setup

✔ Brand-Match Visual Design

✔ Foundational Systems & Workflows

✔ Transfer of all assets into your HighLevel account

What’s NOT included:

Ongoing management

Future edits, redesigns, or system maintenance

Revisions after delivery milestone

Hosting

Paid integrations

SMS/email billing

Tier 2: Managed Suite (Designer-Hosted)

All Foundation Build features plus:

✔ Full hosting inside KK Studio

✔ Monthly management, updates, and optimizations

✔ Performance tuning

✔ Technical support

✔ Security, backups, system integrity

✔ Priority troubleshooting

You lease your digital infrastructure through KK Studio.

If payments lapse — access pauses.

Tier 3: Scale System (Designer-Hosted)

Everything in Managed Suite plus:

✔ Advanced funnels

✔ Complex automations

✔ Lead scoring

✔ Reporting dashboards

✔ Quarterly strategy session

✔ Ongoing optimization

✔ High-touch management

This is a hosted, done-for-you system designed to scale operations.

3. PAYMENT TERMS

3.1 Build Fees

Your build fee is due at checkout and is non-refundable once work begins.

Work begins immediately after payment and onboarding.

3.2 Monthly Hosting (If Applicable)

For Managed Suite & Scale System:

Monthly hosting rebills automatically every 30 days.

For Foundation Build:

No recurring hosting unless you choose to upgrade to a studio-hosted plan.

3.3 Failed Payments

If a payment fails:

Day 1 — Email notification

Day 3 — Second attempt

Day 5 — System becomes paused (site temporarily disabled)

Day 10 — Termination & files purged

Reinstatement may require a reactivation fee.

4. REVISIONS & APPROVALS

Foundation Build includes one round of revisions.

Managed Suite/Scale System include ongoing edits within reason (not full redesigns).

Approval windows:

You have 5 days to review any deliverable.

Silence = approval.

After approval, the item is locked.

5. CLIENT RESPONSIBILITIES

You agree to provide:

Branding assets

Login access (if applicable)

Content, copy, and materials

Timely communication

Accurate business information

Compliance with all laws related to marketing, privacy, and communication

Designer is not responsible for compliance issues arising from Client use of the system.

6. CANCELLATION POLICY

6.1 Foundation Build

Build fees are non-refundable.

Once assets are delivered, contract concludes.

6.2 Managed Suite & Scale System

You may cancel anytime with 7 days’ notice before your next billing date.

Upon cancellation:

Website access ends

Hosting terminates

Systems are removed

Workflows and automations are shut down

No files are transferred unless you purchase a “migration-out” service

7. ACCESS & PERMISSIONS

7.1 Designer Access to Your Account

For Foundation Build, you must grant Designer a user role to build inside your HighLevel account.

Upon completion, you may remove Designer’s access at any time.

7.2 Client Access to Designer-Hosted Accounts

For Managed Suite and Scale System, Designer controls hosting, permissions, and backend system integrity.

You receive end-user access suitable for your operations, but structural access is restricted to protect system stability.

8. DISPUTES, LIMITATIONS & WARRANTIES

8.1 Limitation of Liability

Designer is not liable for:

Loss of revenue

Loss of leads

Platform outages

Third-party failures

SMS/email costs

HighLevel internal issues

Maximum liability is equal to the amount paid in the past 30 days.

8.2 Warranty

Designer provides no guarantee of results, income, or performance beyond reasonable functionality.
